Terms of Service

Introduction

Welcome to Nashr. These Terms of Service ("Terms") govern your use of the Nashr platform and services ("the Service") operated by Nashr ("Nashr," "we," "us," "our"). By using the Service, you agree to be bound by these Terms.

Eligibility

By using the Service, you represent and warrant that you:

  • Are at least 18 years of age (or the age of legal majority in your jurisdiction)
  • Have the legal authority to enter into these Terms
  • Have not been previously banned or suspended from the Service

Your Account

When you create an account, you agree to:

  • Provide accurate, complete, and current information
  • Maintain the security of your account and password
  • Notify us immediately of any unauthorized use
  • Be responsible for all activities under your account

Acceptable Use

Nashr grants you a limited, non-exclusive, non-transferable license to use the Service for legitimate social media account management purposes. You agree not to:

  • Violate any applicable laws or regulations
  • Interfere with or disrupt the operation of the Service
  • Misuse the platform to publish unlawful content
  • Resell or redistribute the Service
  • Circumvent any usage restrictions or rate limits

Connected Accounts and Platform Responsibility

When you connect social media accounts and publish through the Service:

  • You are authorized to represent and act for those accounts.
  • You grant Nashr permission to publish on your behalf, and you remain the publisher and advertiser of record for everything published through the Service.
  • You are responsible for complying with the terms and community guidelines of each connected platform (including Meta/Instagram, TikTok, and Snapchat) and of any third-party publishing provider we use (including Ayrshare), and for any suspension or penalty they impose.
  • Public publishing requires your account to meet each platform's own requirements (for example, an Instagram Business or Creator account linked to a Facebook Page; a Snapchat Public Profile; and valid, current TikTok authorization).
  • You may disconnect at any time from within the Service settings.

Your Content and License

You retain all ownership of the content, captions, hashtags, images, audio, and video that you create, upload, schedule, or publish through the Service ("Your Content").

You grant Nashr a non-exclusive, worldwide, royalty-free license to host, store, reproduce, reformat, transmit, and publish Your Content solely to operate the Service and to publish it, on your instruction, to the social-media platforms you connect — including the right to sublicense these rights to (a) our service providers that perform publishing on our behalf (such as Ayrshare) and (b) the destination platforms you select (such as Instagram, TikTok, and Snapchat).

This license exists only to provide the Service to you, ends when you delete the relevant content or your account (except for copies in transit or kept in routine backups), and does not permit Nashr to use Your Content to develop other products or for its own marketing. You represent and warrant that you own, or are licensed to publish, Your Content and that publishing it does not infringe any third party's rights.

AI-Generated Content

Nashr may provide AI-assisted content suggestions and captions. AI output may be inaccurate, biased, or unintentionally infringing. You are solely responsible for:

  • Reviewing and approving any AI-generated content before it is published;
  • Ensuring it is accurate, lawful, and compliant with applicable advertising, marketing, and platform rules;
  • The final content you choose to publish on your accounts.

Nashr gives no warranty as to AI output. You own, and are responsible for, the content you publish.

Payment, Billing, and Refunds

  • A free trial period is offered at sign-up.
  • Subscription fees apply per the selected plan, billed in advance on a monthly or annual basis.
  • Billing is handled by Paddle.com, our Merchant of Record, which processes payments, customer service, and refunds.
  • Refunds and cancellations are governed by our Refund & Cancellation Policy and Paddle's Buyer Terms. Nothing in these Terms limits your statutory rights, including any statutory right of withdrawal where it applies.

Intellectual Property

  • Nashr retains ownership of the Service, brand, and proprietary content.
  • You retain ownership of Your Content as set out above.
  • The license you grant Nashr is limited to providing the Service as described in "Your Content and License."

Indemnification

To the maximum extent permitted by applicable law, you will defend, indemnify, and hold harmless Nashr and its affiliates, officers, employees, agents, licensors, and service providers from and against third-party claims, and reasonable defense costs, arising out of or relating to:

  1. Your Content, including any claim that it infringes intellectual-property, publicity, privacy, or other rights, is defamatory, or is false, deceptive, or otherwise unlawful (including under advertising and consumer-protection laws);
  2. your breach of these Terms or of your representation that you own or are licensed to publish Your Content;
  3. your violation of any applicable law or regulation;
  4. your violation of the terms or community guidelines of any connected platform (including Instagram, TikTok, and Snapchat) or of any third-party publishing provider (including Ayrshare); and
  5. your access to, use of, or misuse of the Service, including any use by anyone using your account and any misuse of AI-assisted features.

Carve-out. This indemnity does not apply to the extent a claim or loss arises from Nashr's own gross negligence, fraud, or willful misconduct, nor to any liability that cannot be shifted under applicable law (including tortious liability and liability for death or personal injury). Your indemnity is limited to direct, foreseeable losses.

Procedure. Nashr will give you prompt written notice of any claim; you may, at your expense, control the defense and settlement with counsel reasonably acceptable to Nashr, provided you do not agree to any settlement that imposes a non-monetary obligation on, or requires any admission by, Nashr without its prior written consent (not unreasonably withheld).

Nashr's indemnity. Nashr will indemnify you on equivalent terms for third-party claims that the Service, as provided by Nashr, infringes a third party's intellectual-property rights, subject to the same carve-outs and procedure.

This Section survives termination.

Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranty of any kind, express or implied. We do not warrant that the Service will be uninterrupted or error-free, and we do not guarantee any particular level of uptime.

Limitation of Liability

To the maximum extent permitted by applicable law, Nashr's total aggregate liability arising out of or relating to the Service or these Terms will not exceed the total fees you paid in the twelve (12) months immediately before the event giving rise to the claim. Nashr will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill.

Nothing in these Terms limits liability that cannot be limited under applicable law — including liability for gross negligence, fraud, or willful misconduct, death or personal injury, and any tortious liability that cannot be excluded.

Termination

Either party may terminate these Terms at any time. Upon termination:

  • Service access is revoked
  • Your data may be exported upon request within 30 days
  • Data retention policies apply as described in the Privacy Policy

Force Majeure

Nashr is not liable for any delay or failure to perform caused by events beyond its reasonable control, including acts of God, natural disasters, war, civil unrest, labor disputes, failures of telecommunications or internet providers, failures or outages of third-party infrastructure or platforms, governmental action, or pandemic.

General

  • Severability. If any provision of these Terms is held invalid or unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions will continue in full force.
  • Entire Agreement. These Terms, together with the Privacy Policy and any policies referenced here, are the entire agreement between you and Nashr regarding the Service and supersede any prior understandings.
  • Assignment. You may not assign these Terms without our prior written consent. Nashr may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • Survival. Provisions that by their nature should survive termination (including IP, indemnification, disclaimers, limitation of liability, and governing law) survive.
  • No Waiver. A failure to enforce any provision is not a waiver of it.

If you believe content published through the Service infringes your copyright, contact us at the address below with: identification of the work, identification of the allegedly infringing material and where it appears, your contact details, and a good-faith statement. We will review and, where appropriate, remove the material and may terminate repeat infringers. This describes our internal procedure and is not a representation of any statutory safe-harbor or immunity.

Governing Law

These Terms are governed by the laws of the Kingdom of Bahrain, and the competent courts of the Kingdom of Bahrain will have jurisdiction, without prejudice to any mandatory consumer-protection rights you have under the laws of your country of residence.

Contact Us

Changes to Terms

We will notify you of material changes to these Terms at least 30 days before they become effective. Your continued use of the Service constitutes acceptance of the modified Terms.
